Constitution and Bylaws

Valley Classic Wheels Car Club

Simsbury, Connecticut

Article I, Name.

This organization shall be known as the Valley Classic Wheels Car Club.  Hereinafter referred to as the VCWCC.

Article II, Object.

The purpose of the club is to encourage the preservation, restoration and exhibition of antique, classic and special interest vehicles, through fellowship, camaraderie and education. The VCWCC holds to be a charitable, not-for-profit organization.

Article III, Membership.

Membership in the club is open to owners of these vehicles in the region.  Membership may also be extended to non vehicle owners who have interest in this field and are willing to contribute time and effort to help in the club’s operation. There shall be three (3) types of membership; Founding, Active, and Honorary.

Founding: Any member who gained their membership at the inception of the VCWCC.

                Active: The active membership is the only form of membership that is entitled to vote or hold office. They must be eighteen (18) years of age, and dues paying. Participation in planned activities is encouraged. Every dues paying member is entitled to one (1) vote in elections or on any issues that may require a vote during the business meetings.

                Honorary: A person or organization so designated by the Board of Directors. Nominations shall be accepted from the active membership. Voting by the Board of Directors, on these nominations, will be closed and a majority of the Board shall carry.Article IV, Officers and Directors.

Section 1. The officers of the VCWCC shall be President, Vice President, Secretary and Treasurer.

     a.) Officers shall serve for a period of two years.

     b.) The President may serve only one consecutive term.

Section 2. The President Shall:

a.)      Preside at meetings.

b.)     Enforce regulations of the VCWCC.

c.)      Be an ex-officio member of all committees.

d.)     Call special meetings of the club when deemed necessary.

Section 3. The Vice President shall:

a.)      Assist the President in the conduct of the club.

b.)     Preside over meetings in the absence of the president.

c.)      Monitor the VCWCC cheer fund. This fund was established to recognize and/or assist Club Members and/or their immediate family, when brought to the attention of the Club, rites of passage or tragic events affecting the Member(s).

Section 4. The Secretary shall:

a.)      Record and maintain minutes of the club meetings in a book provided for this purpose.

b.)     Have custody of the minutes book and all documents pertaining to the office.

c.)      Maintain a current roll of all members and any pertinent information.

d.)     Give notice of all regular and special meetings of the membership and the Board of Directors.

Section 5. The Treasurer shall:

a.)      Be in charge of all the club’s finances. Shall collect and properly deposit all monies due to the VCWCC.

b.)     Maintain a checking account and pay all debts contracted by the club.

c.)      Make a report of the financial standing of the club at each monthly meeting.

d.)     Maintain a list of all dues paying members and records of the payments.

Section 6. The Board of directors shall consist of the four officers listed above and,

a.)      Immediate Past President.

b.)     Director of Public Relations.

c.)      Additional directors as required, to maintain an odd number on the board.

Section 7. The Immediate Past President shall:

a.)      Assist and advise the President and Vice President in the discharge of their duties and officiate in     their absence.

Section 8. The Director of Public Relations shall:

a.)      Be responsible for offering news stories and reports regarding the VCWCC to publications.

b.)     Work with the secretary in preparation of club newsletter.

Section 9. The Director of Club Car Shows shall:

a.)      Chair the annual car show committee.

b.)     Coordinate the activities of the various groups involved in the show

Section 10. The Director of Club Cruises shall:

a.)      Plan and assist in the development and execution of various cruises

Section 11. The additional director(s) shall be assigned as needed. Any active member(s) who wish to serve shall be considered, and will be appointed by the Board with the term of one (1) year.

Section 12. The Board of Directors shall:

a.)      Determine the mission and purpose of the VCWCC.

b.)     Present a written report of all formal board meetings to the membership via newsletter, e-mail, or directly at regular meetings.

c.)      Approve all appropriations for the normal expenses required for the operation of VCWCC. Any appropriation exceeding $750.00 shall be referred to the active membership for approval.

d.)     Establish operating committees as may be required. For such terms as it deems appropriate.

e.)      Work to enhance the club’s public image.

Section 13. No officer or director shall receive compensation for any service in the performance of their duties except reimbursement for administrative expenses.

Article VI, Meetings. 

Section 1. All regular business meeting shall be held on the third Thursday of each month, except during the month of December, at Eno Memorial Hall in Simsbury, Connecticut unless otherwise designated.

Section 2. A quorum at any membership meeting shall be thirty percent (30percent) of active members.

Section 3. The President may call special meetings.

Article VII, Dues.

Section 1. Annual dues, established by the VCWCC membership, shall be payable in the month of November. A membership number will be assigned with payment of dues and maintained with renewal.

Section 2. Any member whose dues are delinquent for six (6) months will automatically have membership suspended. Reinstatement by payment of current dues will be considered as new membership.

Article VIII, Elections.

Section 1. Elections shall be held biennially in the odd years at the October business meeting.

Section 2. Nominations will be made from the floor.

Section 3. Elections will be by secret ballot.

Article VIIII, Order of Business.

Section 1. All meetings shall be conducted as follows:

a.)      Sign in sheet

b.)     Call to order

c.)      Introduction of visitors

d.)     Approval of minutes of last meeting as written

e.)      Reading of correspondence

f.)       Secretary’s report

g.)     Treasurer’s report

h.)     Committee reports

i.)       Unfinished business

j.)       New Business

k.)      Announcements

l.)       Adjournment

m.)    Informal social time

Article IX, Fiscal Management.

Section 1. The fiscal year for the club shall commence November 1.

Article X, Amendments.

Section 1. The Constitution and its Bylaws may be amended by a vote of thirty percent (30percent) of the active Membership.

Section 2. All proposed changes to the clubs Bylaws will have a first reading at a regular monthly meeting. At the following regular monthly club meeting there will be a second reading of the proposed change. After the second reading, a vote to ratify the amendment will take place.

Article XI, Acceptance.

Section 1. These Bylaws have been approved and accepted by the VCWCC active membership on this, The Seventeenth day of November, 2005.

 
 

Valley Classic Wheels Car Club Statement of Purpose

The Valley Classic Wheels Car Club is dedicated to the encouragement of preservation, restoration and exhibition of antique, classic and special interest vehicles. Vehicle ownership is not a requirement, only the desire to participate in Club activities. The Valley Classic Wheels Car Club is a not-for-profit group.

We have monthly meetings the third Thursday of each month except in December. We typically meet at Eno Memorial Hall (North Conference Room) which is on Hopmeadow Street in Simsbury. (Route 10/202). SOMETIMES we schedule an alternate meeting place to coordinate a club tour or event. CHECK the EVENTS listing for this month to verify our meeting place. Our Club purpose is to have fun and share that fun with others, both in and outside of the Club. We do this in many ways. First, by sharing the varied talents of our members and being part of the community. Second, by hosting an annual car show in July each year, which benefits local and state charities.

As a group, we attend other area clubs shows and events. We plan our own "cruises" to various spots of interest, which allows us the opportunity to get out and enjoy our hobby.

The Valley Classic Wheels Car Club elected officers are: President Brad Busque, Vice President Wayne Hoffman, Secretary Thomas Zalenski  and Treasurer Robert Riddell. The Valley Classic Wheels Car Club Board of Directors include the above elected officers, along with Steven Reed, Immediate Past President, Richard Burns, Club Cruise Director, Pete Rocco, Director of Public Relations, Howard Miller, Director of Car Shows, and Steven Krilyno & Dennis Delaney, Directors at Large. The board oversees The Club and helps maintain its direction.

The Valley Classic Wheels Car Club is proud of its accomplishments and continues to make yearly donations to local charities. Now in our Club’s seventh year, profits from our sixth annual car show have grown to allow us to donate over $4,200 to twelve local charities. The Club has joined forces with the Simsbury Flying Club and helped produce the Car Show portion of their Annual Fly In at the Simsbury Airport. The Clubs efforts at their event, have been going on five years now.

This year the weather did NOT prevent us from visiting the Boston World Of Wheels Car Show as a group We continue to hold miniature car shows for the patients of local nursing homes.  Every member puts forth an effort to make The Club a success.
